Disclosure letter

A key document in any private acquisition. It is prepared by the seller's legal advisers and makes general and specific disclosures of circumstances, facts or matters that are inconsistent with the seller's warranties contained in the acquisition agreement. If a seller fails to disclose a relevant matter in respect of the warranties, the seller may be sued by the buyer for breach of warranty. A bundle of documents is often attached to the disclosure letter to support the seller's disclosures.
