China cross-border M&A
Cross-border transactions between Chinese and foreign parties usually involve simultaneous work on English and Chinese-language drafts. To assist practitioners in handling these transactions, Practical Law China has published the following bilingual (English-Chinese) standard documents and clauses:
Most legal drafting found in contracts and legal documents dealing with intellectual property originated in the English language. This can make it difficult for the Chinese-speaking recipients of enforcement letters (such as cease-and-desist letters) to understand, even when translated. To help practitioners parse these, we have published a series of Chinese-language translations of our China IP and IT standard documents drafted to preserve the legal effect of the original, while remaining easy to understand in the Chinese language. We have published standard clause, Employee handbook: Annual leave policy . This standard clause sets out the statutory annual leave entitlements that employees have under Chinese employment law and should be included in the employee handbook as a part of various leave entitlement policies.
