Standard Clause in which the supplier or service provider covenants to the buyer that it will conduct its business during the term of the agreement according to the buyer's environmental, social, and governance (ESG) policies and with ESG-related laws, regulations, and standards, with an optional clause requiring the seller to disclose relevant reporting data. ESG is a term often used interchangeably with corporate social responsibility (CSR). This Standard Clause can be used alone or to supplement ESG representations and warranties in a commercial sale of goods or services transaction.
