This multilateral instrument provides that a distribution by a reporting issuer of its securities is exempt from the prospectus and registration requirements of Applicable Securities Laws in Manitoba, Ontario, Quebec, New Brunswick and Nova Scotia if certain conditions are met, including restrictions on the amounts offered and sold to purchasers and the use of an approved funding portal. This is known as the Crowdfunding Exemption.
