A form letter from a buyer of goods dispatched under Section 2-616(1)(a) of the Uniform Commercial Code (UCC) terminating the underlying sale of goods contract in response to the seller's UCC Section 2-615 notice of commercial impracticability. This notice may be used by a buyer to terminate the contract when the buyer does not accept the terms of the seller's notice of, for example, delayed delivery of the contracted goods or delivery of a reduced amount of goods based on the seller's right to allocate the goods under UCC Section 2-615(b).
