Voting share

A share issued on terms that give its holder the right to vote at members' meetings. Generally speaking, all ordinary shares in companies incorporated under the Corporations Act 2001 (Cth) (CA 2001) carry voting rights. A company can determine the terms on which its shares are issued, including whether the share has voting rights. The concept of voting shares is important in the context of the takeovers provisions in Chapter 6 of the CA 2001 (see Practice note: overview, Takeovers: takeover regulation).
