A Practice Note examining the executive compensation clawback requirement mandated by the Dodd-Frank Act. This Note addresses Exchange Act Rule 10D-1, adopted by the SEC on October 26, 2022, which became effective on January 27, 2023, the New York Stock Exchange (NYSE) and Nasdaq Stock Market (Nasdaq) listing standards implementing the rule, which both became effective on October 2, 2023, the elements of a compliant clawback policy, clawback disclosure requirements, and next steps and practical considerations for companies adopting and implementing a Dodd-Frank clawback policy. Companies listed on national exchanges such as NYSE and Nasdaq must adopt a compliant clawback policy by December 1, 2023.
