A Practice Note discussing the power of the Committee on Foreign Investment in the United States (CFIUS) to review certain acquisitions of and investments in US businesses, including in the form of a joint venture, by foreign persons. This Note addresses CFIUS's expanded authority to review covered control transactions and covered investments under the Foreign Investment Risk Review Modernization Act of 2018 (FIRRMA), the filing and review process, and mitigation measures CFIUS can impose.
