This note describes the law and practice relating to how a company registered under Part 2 of the Companies Act 1993 can validly execute deeds and other documents either under section 180 of the Companies Act 1993 or by other methods permitted by law. It covers execution of deeds under a company's name by two directors, a sole director and a witness (if the company has only one director) or an attorney under a power of attorney. It also deals with execution of simple contracts on behalf of a company by persons acting under the company's express or implied authority.
