Closing

At the closing of a registered securities offering, the company delivers the registered securities to the underwriters in exchange for the net offering proceeds. The closing of a registered offering is held on the third or fourth business day following the date the security being offered is priced. At the closing for a private placement, the company delivers the securities to the investors in exchange for the aggregate purchase price. For the closing of a finance transaction, see closing date.
For a list of documents commonly delivered at a closing for a registered offering of equity securities, see Standard Document, Closing Checklist: Public Equity Offerings (Non-Shelf Offerings).
