A Standard Document that can be used when parties want to submit a premerger filing under the Hart-Scott-Rodino (HSR) Act using a short form letter of intent (LOI) before they execute a definitive agreement. This Standard Document discusses when to use an LOI with an HSR filing, considerations for parties drafting an LOI, and what information is included in the LOI. This Standard Document should not be used for non-negotiated transactions, such as tender offers or open market purchases, known as Rule 801.30 transactions, or bankruptcy transactions under 11 U.S.C. § 363.
