Ministry of Commerce (MOFCOM) (商务部)

A central government ministry sitting under the State Council to oversee areas including domestic and foreign trade, foreign direct investment, Chinese outbound investment and international economic co-operation.
MOFCOM's responsibilities include:
  • Formulating administrative regulations and policies.
  • Supervising the compliance of the information reporting obligation performed by foreign investors and foreign-invested enterprises (FIEs).
  • Performing national security reviews regulated under China's M&A legislation.
(See MOFCOM website.)
MOFCOM's duty once included overseeing concentrations of undertakings (that is, merger reviews) but the power has been passed to the State Administration for Market Regulation (SAMR) after China's massive government institutional reform in 2018 (see Practice note, Understanding the 2018 government institutional reform: China: Single anti-trust regulator).
