Choice of Forum | Practical Law

This Practice Note discusses choice of forum issues that parties should consider when drafting contracts. The forum selection clause, also known as the choice of forum or submission to jurisdiction clause, allows the contracting parties to confer personal jurisdiction on the courts of the appropriate jurisdiction to adjudicate disputes under the contract. The contracting parties should review the choice of forum clause together with any governing law clause, as courts look to both provisions to determine whether to adjudicate the claim and what law to apply. For information on civil law choice of forum clauses and issues that apply in the province of Québec, see Practice Note, Choice of Forum (QC Civil Law).
