The SEC will hold an open meeting on October 30, 2015 to consider adopting rules and forms that would implement the crowdfunding provision of Title III of the JOBS Act.
On October 26, 2015, the SEC announced that it will hold an open meeting on October 30, 2015, at 10:00 a.m. ET, to consider adopting rules and forms that would implement the crowdfunding provision of Title III of the JOBS Act. The SEC first proposed rules on crowdfunding in October 2013. To learn more about the proposed rules, see Practice Note, Crowdfunding Offerings Under Section 4(a)(6).
During the meeting, the SEC will also consider whether to propose amendments to the following Securities Act rules:
  • Rule 147, which grants an exemption from registration to issuers conducting an intra-state offering that satisfy certain conditions.
  • Rule 504, which grants an exemption from registration for certain offerings with a total price of up to $1 million.
