Principal

The party that empowers another party to act on the first party's behalf. For example, the person who appoints a person via a power of attorney to act on their behalf in relation to certain matters is a principal. The principal may be in a position of vulnerability as a result of entrusting certain powers to the other party, which may result in the creation of a fiduciary relationship between the parties.
