This note looks at the issues to consider when drafting or negotiating a clause in a property sale contract requiring the buyer to help the seller achieve a release from liability under its landlord covenants.

This provision will be relevant only where the property is being sold subject to an occupational lease that is a "new" tenancy under the Landlord and Tenant (Covenants) Act 1995.
