An agreement between two entities to collaborate on commercializing one or more products incorporating one party's patentable technology, know-how, or other intellectual property (IP). It contains provisions that are common in negotiated IP commercialization agreements, including terms setting out the commercializing party's responsibilities, procedures for collaboration governance and dispute resolution, and the parties' respective rights and obligations concerning manufacture and supply of the collaboration products, and licensing, ownership, and protection of IP used in commercializing the collaboration products. It aims to be reasonable and is drafted in a balanced manner that does not necessarily favor one party over the other.
