There is increasing focus by regulators and other corporate stakeholders on environmental, social, and governance (ESG) issues and disclosure, including reporting on sustainability and climate risk.
Sustainability is an extremely broad concept but identifying particular issues and organizing them into the three ESG pillars makes it easier to understand each individually and to measure a company's performance in these areas.
  • Environmental: Prominent factors range from universal concerns like carbon emissions and waste management to more industry-specific issues like water scarcity (beverage), deforestation (palm oil), and fracking (oil & gas).
  • Social: Social has recently become a focal category in ESG. Common social factors include human rights, diversity, equity and inclusion, non-discrimination, health and welfare of employees, customers, and the local community, and managing the supply chain.
  • Governance: Governance is the most universal of the three ESG pillars and includes factors such as board oversight, board diversity, appropriate compensation incentives, ethics, and anti-corruption.
While climate change and environmental issues often receive significant attention, focus has been shifting more to social issues, particularly to employees and the importance of human capital management policies. The events of 2020, including the COVID-19 pandemic and racial justice movement, pushed social issues even further to the forefront.
This Toolkit provides resources to help guide issuers and their counsel in preparing both mandatory and voluntary ESG disclosure, as well as understanding market participant expectations.
