The SEC released an updated draft of the EDGAR Filer Manual (Volume II) to reflect changes scheduled to be implemented on January 14, 2013.
On December 14, 2012, the SEC released a revised draft of the EDGAR Filer Manual (Volume II), which governs the submission of information to the SEC by electronic means. If the draft is approved, the changes to EDGAR will be implemented on January 14, 2013.
If approved, the revised filer manual will implement the following changes:
  • A new submission type, IRANNOTICE, will be added on EDGARLink Online to enable filers to submit notices of disclosure filed in Exchange Act quarterly and annual reports under Section 219 of the Iran Threat Reduction and Syria Human Rights Act of 2012 and new Section 13(r) of the Exchange Act. Filers can access this submission type from a link on the EDGAR Filing Website. In addition, filers may construct XML submissions by following the EDGARLink Online XML Technical Specifications document.
  • An update to EDGAR will allow filers to submit submission types 497AD, 40-17G, 40-17G/A, 40-17GCS, 40-17GCS/A, 40-24B2 and 40-24B2/A in Portable Document Format (PDF) as an official filing format. EDGAR will also continue to accept both ASCII and HTML filings for these submissions.
  • A new online version of Form N-SAR will be created, but will not be available earlier than April 2013. This new online version of Form N-SAR will include the following changes:
    • DOS-based application to create Form N-SAR documents will be retired and filings created by the DOS-based application will no longer be accepted;
    • Form N-SAR will only be able to be filed using the online version of the form available on the EDGAR Filing Website or constructed by filers according to the EDGAR N-SAR XML Technical Specification;
    • submission form types NSAR-A, NSAR-A/A, NSAR-AT, NSAR-AT/A, NSAR-B, NSAR-B/A, NSAR-BT, NSAR-BT/A, NSAR-U and NSAR-U/A will be accessible by selecting the "File Form N-SAR" link on the EDGAR Filing Website;
    • filers submitting form type NSAR-U should continue to prepare the text document with the applicable answers and attach it to the NSAR-U submission form type accessible from the "File Form N-SAR" link on the EDGAR Filing Website; and
    • "EDGAR Filer Manual, Volume III: N-SAR Supplement" will be retired and instructions to file the online version of Form N-SAR addressed in Chapter 9 of "EDGAR Filer Manual, Volume II: EDGAR Filing" should then be followed.
The SEC has provided a redlined version of Volume II to assist in the identification of draft changes.
