Underwriter

Generally, an investment bank, or other financial institution, that offers or sells securities to investors in a public offering on behalf of the company in either a firm commitment underwriting or a best efforts underwriting. The Securities Act defines underwriter much more broadly to include other participants in a distribution of securities.
