An overview of the disclosure requirements of a registration statement on Form F-1. Form F-1 is the registration statement form most commonly used by foreign private issuers (certain non-US companies) selling securities in a registered offering in the US for the first time. This Note not only addresses the general requirements for preparing and filing Form F-1 but also includes a detailed analysis of the items required by Part I and Part II of Form F-1. The scaled disclosure accommodations available to foreign private issuers that are emerging growth companies under the Jumpstart Our Business Startups Act of 2012 (JOBS Act) are also identified.
