Road Show

Presentations to market an upcoming securities offering to prospective investors made by the issuer's senior management, often accompanied by representatives of the underwriters or initial purchasers. Road show presentations are typically attended by representatives of large institutional investors, money managers and brokerage firms, and can be one-on-one meetings or presentations to a group.
Rule 433 under the Securities Act defines a road show as an offer (other than a statutory prospectus or a portion of a statutory prospectus filed as part of a registration statement) that contains a presentation about an offering made by one or more members of the issuer's management which includes discussion of the issuer, the management or the securities being offered.
For a detailed discussion of road shows, see Practice Note, The Nuts and Bolts of Road Shows.
