Liability Management
Transactions undertaken by a company to restructure the liabilities on its balance sheet. Examples of liability management transactions include:
- Issuer debt repurchases.
- Issuer tender offers.
- Private exchange offers.
- Exchange offers exempt from SEC registration requirements under Section 3(a)(9) of the Securities Act.
- SEC-registered exchange offers.
