Schedule 13D

A beneficial ownership report under Section 13(d) of the Securities Exchange Act of 1934, as amended (Exchange Act). Schedule 13D is filed by a person that acquires more than 5% of a voting class of a company's equity securities registered under Section 12 of the Exchange Act and who does not otherwise qualify to file a short-form report on Schedule 13G.
Schedule 13D reports the acquisition and other information within ten days after the purchase. Any material changes to the information in the Schedule 13D must be promptly reported in an amendment.
