The SEC issued a report on capital raising in the US through unregistered offerings using the Regulation D exemption.
On July 10, 2013, the SEC's Division of Economic and Risk Analysis released a report on capital raising in the US through unregistered offerings using the Regulation D exemption. The report updates a 2012 report that analyzed Form D filings from the beginning of 2009 through the first quarter of 2011. The updated report contains information through the end of 2012 and also contains additional analysis not included in the previous report.
The report provided support for the SEC's economic analysis of two recent sets of final rules and a rule proposal, all approved on July 10, 2013. For more information on the rules, see Legal Updates:
