FTC requires divestitures of psychiatric facilities as a condition Of Universal Health Services, Inc.'s acquisition of Psychiatric Solutions, Inc. | Practical Law

n 15 November 2010, the Federal Trade Commission (FTC) filed a complaint against Universal Health Services, Inc. (UHS) and Psychiatric Solutions, Inc. (PSI) alleging that UHS's US$3.1 billion acquisition of PSI would substantially lessen competition for acute inpatient psychiatric services in three relevant markets in violation of section 7 of the Clayton Act and section 5 of the Federal Trade Commission Act. The FTC simultaneously filed a proposed consent order requiring the parties to divest 15 psychiatric facilities, including two inpatient hospitals in Las Vegas, Nevada, and one inpatient hospital in each of the State of Delaware and the Commonwealth of Puerto Rico.
