This note considers some of the intellectual property (IP) and information technology (IT) issues that arise on intra-group reorganisations. The note addresses how to ensure that IP and IT are dealt with correctly where the reorganisation takes place as a precursor to the sale of part of the group or the liquidation of a group company that owned or licensed IP rights before the reorganisation.
