Real Estate Acquisitions & Sales

Such transactions involve working cooperatively with our clients and their consultants to evaluate all aspects of a site and to develop creative measures to resolve issues and challenges that may be discovered in the course of due diligence. We negotiate with title companies, adjacent and former property owners and others to resolve title matters; we structure transactions, advocate in negotiations with environmental insurance providers and work with environmental experts to qualify projects for state and federal clean-up programs and safe harbors in connection with the purchase and sale of environmentally contaminated properties; and we negotiate and prepare other related and collateral agreements, including option agreements, access and construction easements, party-wall and other co-development agreements, allocations of entitlements, restrictive covenants, rights of first refusal, rights of first offer and repurchase options.
Real Estate Lending
Our real estate practice group represents both lenders and borrowers in connection with acquisition, construction, mezzanine and permanent financing and synthetic lease financings for land development, planned communities, condominiums, hotels, shopping centers and resort communities. These transactions also commonly include large syndicated loans and loan participations, and we assist lenders in negotiating loan participations and syndications and resolving disputes arising out of participations and syndications. We represent both national and international lenders, insurance companies and retirement funds involved in construction and permanent loan transactions, as well as warehouse lending and the purchase and sale of loan portfolios, and we frequently act as local counsel in large multi-state loan transactions.
Foreclosure; Loan Workouts; Receivership
We represent lenders in connection with workouts, foreclosures, deeds in lieu of foreclosure, refinancings and receiverships. We work closely with our construction law practice group to resolve the mechanics' lien issues which frequently arise in connection with defaulted construction and development loans. Our lawyers have been leaders in reforming Colorado's foreclosure statutes. We have represented lenders in the workout or foreclosure of loans secured by retail, office, multi-family, single-family, resort property and manufacturing facilities. We have represented receivers of all types of projects from residential to commercial and from cogeneration hydroponic tomato farms to medical practices. Sherman & Howard’s workout lawyers have an extremely practical bent with experience from the economic downturns of past business cycles.
Leasing
Sherman & Howard represents landlords and tenants in office, retail, shopping center, warehouse, industrial, ground, build-to-suit, restaurant and medical leases, including negotiating basic lease documents, renewal options, expansion rights, brokerage issues, rights of first refusal, rights of first offer and related matters. Our work also includes negotiating and preparing construction finish agreements for landlords and tenants relating to tenant finish build-out, coordinating fee, security and leasehold interests in leasehold premises through non-disturbance and estoppel certificates for landlords, tenants and lenders, assisting with exit strategies through the negotiation of assignments, subleases and landlord consents, and analyzing and advising regarding default issues and strategies for both landlords and tenants.
