An overview discussing the modifications concerning corporate governance matters introduced by the revised Company Law of the People's Republic of China (PRC). The revised law, with effect from 1 July 2024, influences companies' daily operations, encompassing all company organs in a structured manner. The Note highlights typical challenges and situations companies are facing with the implementation of the revised law, and discusses the possible solutions that might work for companies to tackle the emerging issues. The Note also sets out succinct compliance guidance for companies to consider in light of the changes of the law. Unless specifically stated otherwise, the changes discussed in the Note apply to both limited liability companies (LLCs) and companies limited by shares (CLSs, also known as joint-stock companies).
