A standard constitution for a proprietary company limited by shares registered under the Corporations Act 2001 (Cth). It contains provisions dealing with the powers of the company, the issue of shares, calls on partly paid shares, transfer of shares, general meetings of the members, the appointment and removal of directors, meetings of the directors, procedures for dividends and other procedural matters and requirements.
