This Checklist summarizes the general purpose of common anti-takeover or anti-stockholder activism related provisions (defense measures), including in which organizational document (certificate of incorporation or by-laws, or both) the defense measure can or must be located under Delaware law or if the defense measure applies by default. This Checklist also explains the corporation's preference when it has a choice regarding which organizational document to include the defense measure in and the general prevalence of these defense measures by type of public company (established public companies and IPO-stage companies).
