This Note examines the extraterritorial application of US securities laws to offshore offerings by US companies conducted for capital raising purposes. In particular, this Note focuses on the Securities Act registration requirements, including certain exemptions and exclusions from these requirements, applicable to offshore offerings by US companies and the practical issues that US companies encounter when conducting offshore offerings.
