An overview of recently enacted federal laws and regulations requiring disclosure of the beneficial ownership of entities that own, invest in, or lease commercial or residential real property. This Practice Note discusses disclosure requirements affecting real estate transactions under the Bank Secrecy Act (including Geographic Targeting Orders (GTOs) issued by FinCEN), the Corporate Transparency Act (CTA), the Foreign Investment Risk Review Modernization Act of 2018 (FIRRMA) (expanding the authority of CFIUS), the Secure Federal Leases from Espionage And Suspicious Entanglements Act (Secure Federal LEASEs Act), the International Investment and Trade in Services Survey Act (IITSSA), and portions of the Affordable Care Act that apply to nursing facilities.
