Purchase price adjustments continue to remain a major component of private M&A transactions. In a recent survey conducted by Jorge Freeland, Jonathan Mann and Jonathan Picard of White & Case LLP, detailed information was gathered to identify trends in the drafting of purchase price adjustments in 2012. In this article, the authors review some of the key findings from their survey and outline the most prevalent practices for purchase price adjustment drafting in 2012.
