ASX Listing Rules

The rules governing:
  • The admission of entities to, and their removal from, the Australian Securities Exchange (ASX).
  • The procedures, disclosure requirements and certain conduct of all entities listed on the ASX.
The obligations to comply with the ASX Listing Rules come from both:
  • Their contractual nature - under its listing agreement with the ASX, each entity admitted to the ASX official list is contractually bound to ASX to comply with the ASX Listing Rules.
  • The Corporations Act 2001 (Cth) (CA 2001), which empowers certain parties to apply to the court to enforce a licensed market's operating rules (including the ASX Listing Rules) (section 793C, CA 2001).
While breach of the ASX Listing Rules is not an unlawful act, the CA 2001 gives power to the court to make orders in relation to contraventions of the ASX Listing Rules (section 1101B, CA 2001).
