This Note provides an overview of private placements commonly used as alternatives to prospectus offerings in Canada. This Note explains what a private placement is and why issuers may conduct a private placement offering. This Note also examines prospectus exemptions commonly used by issuers and investors who wish to sell securities subject to resale restrictions in exempt offerings. In addition, it offers examples of when and how issuers and investors use these exemptions.
