A Standard Clause providing environmental, social, and governance (ESG) representations and warranties for use in a commercial sale of goods or services transaction. Under this Standard Clause, the seller or service provider represents and warrants to the buyer that it has implemented and conducts its business according to the buyer's ESG policies for vendors. In addition, the seller or service provider represents and warrants that it complies with and has required its subcontractors and suppliers to comply with, ESG-related laws, rules, and regulations.
