A Practice Note discussing templates commonly used in US commercial transactions for confidentiality agreements (CAs), also referred to as nondisclosure agreements (NDAs) or confidential disclosure agreements (CDAs). This Note compares mutual forms with unilateral forms, and short forms with long forms, providing guidance for determining which form to use in a given transaction. This Note also addresses short-form clauses and long-form clauses.
