Standard Clauses for use in a commercial real estate purchase and sale agreement obligating the purchaser to cooperate in structuring the transaction as a forward exchange under Section 1031 of the Internal Revenue Code and related regulations and revenue procedures. These Standard Clauses do not necessarily favor either party, but have integrated notes with important explanations and drafting and negotiating tips for both parties. While purchase and sale agreements are generally governed by state law, this jurisdictionally neutral template is useful and relevant in every state.
