Prospectus

For the purposes of the Corporations Act 2001 (Cth) (CA 2001), a standard full-disclosure document required to be prepared by an entity making an offer of securities that needs disclosure to investors (section 709(1), CA 2001). A prospectus must contain all of the information that investors and their professional advisers reasonably require to make an informed investment decision in relation to the offer of securities (section 710(1), CA 2001).
Subject to limited exceptions, the CA 2001 prohibits offers of securities that are made without a prospectus or other disclosure document.
The CA 2001 sets out specific prospectus content requirements for different types of offers that can be made under a prospectus (see sections 711-713E, CA 2001).
