Integration Clause
Also known as a merger clause or an entire agreement clause. An integration clause is a provision in a contract that states that the contract:
Contains the complete and final agreement between the parties.
Supersedes any other oral or written agreements between the parties on the same subject matter.
The purpose of this provision is to:
Attempt to cause a court to look only within the document itself to interpret and enforce the terms of the contract.
Prevent either party from claiming that the contract does not represent their entire understanding of the terms of the agreement.
