Joint Development Agreement | Practical Law
An agreement between two entities concerning their collaboration on the development of patentable technology for later commercialization. It contains provisions that are common in negotiated joint development agreements, including terms setting out the parties' joint development activity and responsibilities, procedures for project management and dispute resolution, the use and ownership of background and jointly developed intellectual property, and patent prosecution and enforcement. It aims to be reasonable and is drafted in a balanced manner that does not necessarily favor one joint developer over the other.
