The Uniform Law Commission (ULC) has posted the 2022 amendments to the Uniform Commercial Code (UCC) final act with prefatory note and comments on its website. This Legal Update was updated on November 23, 2022 and November 30, 2022.
On November 17, 2022, the Uniform Law Commission (ULC) posted the Uniform Commercial Code (UCC) Amendments (2022) final act with prefatory note and comments dated November 17, 2022 on the 2022 Amendments to UCC page on the ULC website. The 2022 UCC amendments had been posted earlier in the year on the ULC website without comments.
On November 23, 2022, the ULC made some minor corrections to the comments in the final act that was originally dated November 17, 2022. That version of the act was then posted to the 2022 Amendments to UCC page on the ULC website. A subsequent version of the act was also posted on November 30, 2022. The 2022 UCC amendments, drafted by the ULC in partnership with the American Law Institute, address emerging technology and provide new rules for commercial transactions involving virtual currencies, distributed ledger technology (DLT), blockchain, artificial intelligence and other technological developments. These amendments involve nearly every Article of the UCC and add a new UCC Article 12 which deals with certain types of digital assets defined as "Controllable Electronic Records" (CERs).
The 2022 UCC amendments have now been recommended for enactment in all states. According to the Enactment History page on the ULC website relating to the 2022 UCC amendments, these amendments have been introduced in the District of Columbia.
