This is a standard form of compliance certificate that a borrower is typically required to give to a lender (in the case of a bilateral facility) or an agent (in the case of a syndicated facility) when it delivers its financial statements under a facility agreement. It confirms the borrower's compliance with the financial covenants it gives under the facility agreement.
