Human rights clause (long form) | Practical Law

A long form human rights clause for inclusion in contracts with a supplier and drafted to protect the interests of the customer. It imposes an obligation on the supplier to comply with human rights laws and to respect human rights, as well as provisions on due diligence, subcontracting, reports, record keeping and audits, and optional indemnity provisions. The clause is intended for use where the due diligence or general external risk profile of the contract presents a medium to high risk of potential adverse human rights impacts arising (for example, because of the location of delivery, industry or proposed supply chain).
