A boilerplate clause dealing with contracting parties' ability to assign, subcontract or otherwise transfer their rights and obligations under the contract. Guidance is provided on using the clause under the laws of China, Hong Kong, and England and Wales. Only use this clause if at least one of the parties to the transaction is foreign (that is, not Chinese). If all parties are domestic Chinese entities, use Standard Clause, Assignment and Other Dealings (No Foreign Element): China instead.
