A form of confirmation clause to be included in an amendment or waiver letter issued by a facility agent (Agent) in connection with a syndicated facility. The confirmation may also be adapted for consent letters. The wording confirms that the Agent is acting on the instructions of either the majority lenders or all lenders under the facility agreement.
