Glossary

Securities Exchange Act of 1934.

A US statute which primarily regulates the trading of securities of public companies and provides for ongoing reporting by issuers whose securities are listed on a US stock market or are publicly offered in the US. It regulates tender and exchange offers, proxy solicitations and fraud and market manipulation in connection with the purchase or sale of securities. It also requires the registration with the US Securities and Exchange Commission (SEC) of broker-dealers, US stock exchanges and associations of broker-dealers.
