Memorandum of association

Also known as the memorandum.
A constitutional document which must be submitted to Companies House before a company can be registered. Under the Companies Act 2006, the memorandum states that the subscribers wish to form a company and have agreed to become members and, in the case of a company that is to have a share capital, to take at least one share each in the company. From 1 October 2009, it is not possible to amend or update the memorandum - it is a "snapshot" of part of the company's constitution at the point of registration.
