The form of notice of an issuer that is not a reporting issuer disclosing in reasonable detail the use of the aggregate gross proceeds raised by the issuer pursuant to an offering that relied on the Offering Memorandum Exemption contained in section 2.9 of National Instrument - 45-106 Prospectus Exemptions (NI 45-106). Pursuant to section 2.9(17.9) of NI 45-106, Form 45-106F16 is to be delivered with financial statements required to be delivered under sections 2.9(17.4) to (17.6) of NI 45-106.
